Illinois Hold Harmless Agreement
This Illinois Hold Harmless Agreement (hereinafter referred to as the "Agreement") is made and entered into on this ___ day of __________, 20__, by and between __________________________ (hereinafter referred to as the "Indemnifier") and __________________________ (hereinafter referred to as the "Indemnitee"), collectively referred to as the "Parties".
WITNESSETH:
WHEREAS, the Indemnitee wishes to secure itself against any claims, losses, damages, and liabilities arising out of or in any way connected with the operations conducted by the Indemnifier, its agents, employees, or subcontractors; and
WHEREAS, the Indemnifier is willing to indemnify, defend, and hold harmless the Indemnitee from and against any and all such claims, losses, damages, and liabilities.
NOW, THEREFORE, in consideration of the premises and the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
- Indemnification. The Indemnifier hereby agrees to indemnify, defend, and hold harmless the Indemnitee, its officers, directors, employees, agents, and successors from and against any and all losses, claims, damages, liabilities, costs, and expenses (including, without limitation, reasonable attorneys' fees) arising out of or in any way connected with the operations of the Indemnifier, except for those caused by the gross negligence or willful misconduct of the Indemnitee.
- Scope of Agreement. This Agreement shall be in effect for operations conducted within the State of Illinois, and shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles.
- Amendments. No amendment or variation of this Agreement shall be effective unless it is in writing and signed by both Parties.
- Notices. Any notices or other communications required or permitted hereunder shall be in writing and given by registered or certified mail, return receipt requested, or by overnight courier to the addresses specified below, or such other address as either Party may, from time to time, designate by written notice to the other Party:

- Severability. If any provision of this Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Agreement shall remain in full force and effect.
- Entire Agreement. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous communications, agreements, and understandings, written or oral.
- Binding Effect. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and permitted assigns.
